1.1 These Agent and Inference Balance Terms (the “Credits Terms”) supplement, and are incorporated into, the DigitalOcean Terms of Service Agreement and any applicable ordering or platform agreement between you and DigitalOcean (together, the “Agreement”). Capitalized terms not defined here have the meaning given in the Agreement.
1.2 If there is a conflict between these Credits Terms and the general Agreement with respect to Agent and Inference Balance , these Credits Terms control for that subject matter only.
1.3 By purchasing, enabling Auto-Reload for, or using Agent and Inference Balance, you agree to these Credits Terms. If you are entering into these Credits Terms on behalf of an entity, you represent that you have authority to bind that entity.
"Agent and Inference Balance " means a prepaid, U.S.-dollar-denominated balance that you purchase in advance and that may be redeemed only against usage fees for Eligible Products, as described in these Credits Terms.
“Eligible Products” means the DigitalOcean products that require a prepaid balance and against which the Agent and Inference Balance may be redeemed. As of the effective date these are Serverless Inference, DigitalOcean Harness Runtime and Action Gateway, together with any product DigitalOcean later designates as an Eligible Product. DigitalOcean may add or, on notice, remove Eligible Products.
“Core Cloud Usage” means all DigitalOcean products and services other than Eligible Products, including Droplets, Spaces, Managed Databases, and App Platform. Core Cloud Usage is billed separately in arrears (or as otherwise agreed) and cannot be paid for with the Agent and Inference Balance .
“Credit Pack” means a fixed-denomination purchase of the Agent and Inference Balance.
“Auto-Reload” means the optional feature described in Section 8 that automatically purchases additional credits for the Agent and Inference Balance when your balance falls below a threshold you set.
“General Prepay Balance” means any account-level prepaid balance you maintain outside of Agent and Inference Balance.
3.1 Prepaid balance for services; not a gift card or cash equivalent. Agent and Inference Balance represents prepayment for future access to Eligible Products. They are not a gift card, gift certificate, stored-value instrument for general use, deposit account, or legal tender. Except to the extent expressly required by applicable law, the Agent and Inference Balance has no cash value, cannot be redeemed for cash, and cannot be used outside the DigitalOcean platform.
3.2 Redemption is limited. The Agent and Inference Balance may be redeemed only against usage fees for Eligible Products. They may not be applied to Core Cloud Usage, taxes, third-party charges, past-due balances, or any fees other than Eligible Product usage, except as DigitalOcean may permit.
3.3 Non-transferable. The Agent and Inference is tied to your DigitalOcean account and may not be sold, transferred, assigned, pooled across accounts, or combined with the balance of any other account, except as expressly permitted by DigitalOcean in writing.
3.4 Not promotional credit. The Agent and Inference is distinct from promotional, courtesy, or marketing credits that DigitalOcean may grant. Promotional credits are governed by their own terms, may expire, and are not purchased by you. Where both are present on an account, DigitalOcean may apply them in the order it determines, subject to Section 6.
4.1 You must have an active DigitalOcean account in good standing to purchase the Agent and Inference Balance , and you must have a valid payment method and billing information on file.
4.2 The Agent and Inference Balance are intended for non-contracted, self-serve accounts. Customers on negotiated contracts that already exempt them from the prepayment requirement are not required to purchase the Agent and Inference Balance and, unless otherwise agreed, are not eligible to do so.
4.3 You may purchase the Agent and Inference even if your account has an outstanding Core Cloud Usage balance. Purchasing the Agent and Inference Balance does not settle, and may not be applied to, that outstanding balance, which remains due under the Agreement.
5.1 Denominations. Agent and Inference Balance are sold in fixed Credit Packs. As of the effective date the available denominations are $5, $10, $50, $100, $200, and $500. DigitalOcean may add, remove, or change denominations at any time.
5.2 Payment collected at purchase. The full price of each Credit Pack is charged to your payment method at the time of purchase. Agent and Inference Balance is made available only after payment is successfully collected; nothing is extended to you on credit.
5.3 Authorization. You authorize DigitalOcean and its payment processors to charge your payment method for each Credit Pack you purchase and, if you enable Auto-Reload, for each automatic purchase under Section 8.
5.4 Taxes. Prices are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes.
6.1 Permitted use. Agent and Inference Balance is redeemed automatically against usage fees for Eligible Products as you incur them, at DigitalOcean’s then-current published rates.
6.2 Order of drawdown. For usage of an Eligible Product, charges are satisfied in the following order, to the extent each is available and applicable:
any applicable subscription allowance (for example, an Agent Plan allowance) covering that usage;
your Agent and Inference Balance balance;
your General Prepay Balance; then
if none of the above covers the usage, the request is blocked and usage is paused as described in Section 6.6.
6.3 Core Cloud Usage unaffected. Core Cloud Usage does not draw down the Agent and Inference Balance and continues to be billed under the Agreement. A positive Agent and Inference Balance has no effect on how Core Cloud Usage is billed or collected.
6.4 Satisfying the prepayment requirement. A positive Agent and Inference Balance balance satisfies the prepaid-balance requirement for Eligible Products. You may use Eligible Products funded by the Agent and Inference Balance without maintaining a General Prepay Balance.
6.5 No guarantee of availability. Holding an Agent and Inference Balance does not guarantee availability of any Eligible Product. Access remains subject to the Agreement, applicable usage limits, acceptable use requirements, and DigitalOcean’s fraud and risk controls.
6.6 Insufficient balance; pause. If your available funding for an Eligible Product is exhausted — meaning no applicable subscription allowance, Agent and Inference Balance, or General Prepay Balance is available to cover the usage — access to that Eligible Product will pause until you add funds to the Agent and Inference Balance, until Auto-Reload replenishes your balance, or until other applicable funding becomes available. Pausing does not affect Core Cloud Usage.
7.1 You can view your current Agent and Inference Balance balance, purchase history, and drawdown activity in your DigitalOcean billing dashboard.
7.2 Redemption of the Agent and Inference Balance against Eligible Product usage will be reflected on your invoice, with the underlying rated usage shown at published rates and the credit applied against it.
7.3 DigitalOcean’s records of Agent and Inference Balance purchased, redeemed, and remaining are, absent manifest error, the authoritative record of your balance.
7.4 Reporting may lag. Usage is metered and applied to your balance on an ongoing basis, and the balance, usage, and spend figures shown in your dashboard may not reflect the most recent activity in real time. A change in your displayed balance or spend may reflect delayed processing of earlier usage rather than new usage. DigitalOcean’s records under Section 7.3 govern in the event of a discrepancy.
8.1 Optional feature. You may enable Auto-Reload to automatically purchase a Credit Pack when your Agent and Inference Balance falls below a threshold you set.
8.2 Scoped to the Agent and Inference Balance only. Auto-Reload for Agent and Inference Balance is independent of any account-level auto top-off for your General Prepay Balance. Enabling it will not cause your Core Cloud Usage to be charged on a recurring basis.
8.3 Recurring charge; your consent. By enabling Auto-Reload you authorize DigitalOcean to charge your payment method the amount and at the trigger you configure, on a recurring basis, until you turn it off. This is a recurring purchase that you control.
8.4 Cancellation. You may disable Auto-Reload at any time in your billing settings, effective for future purchases. Disabling Auto-Reload does not refund funds already added to the Agent and Inference Balance already purchased.
8.5 Notices and limits. DigitalOcean may notify you of Auto-Reload charges and may impose frequency or amount limits on Auto-Reload for fraud-prevention or risk reasons.
9.1 Agent and Inference Balance does not expire and remain available until redeemed against Eligible Product usage or refunded in accordance with these Credits Terms.
9.2 DigitalOcean may adopt a dormancy or inactivity policy in the future and will give you advance notice before any such policy affects your balance. DigitalOcean will handle unredeemed balances in accordance with applicable law.
10.1 General rule. Except as required by applicable law or as expressly stated in these Credits Terms, purchases of Agent and Inference Balance are final and non-refundable, and any unredeemed Agent and Inference Balance is not exchangeable for cash.
10.2 Discretionary refunds. DigitalOcean may, in its discretion, refund an unredeemed Agent and Inference Balance to your original payment method, for example on account closure. Any refund is limited to the unredeemed portion actually paid for by you and excludes any promotional or granted credit.
10.3 Statutory rights. Nothing in this Section limits any non-waivable refund or cancellation right you have under applicable consumer-protection law (for example, statutory cooling-off/withdrawal rights). Where such a right applies, DigitalOcean will honor it.
11.1 Spend and usage limits. You may be able to set spending limits on Eligible Product usage. DigitalOcean may also apply account-level or product-level limits. Reaching a limit may pause usage even if you hold an Agent and Inference Balance; adding credits to Agent and Inference Balance does not by itself raise a spend limit.
11.2 Suspension. DigitalOcean may pause or suspend access to Eligible Products, or to your account, even if you hold a positive Agent and Inference Balance, including for payment-verification failures, suspected fraud or abuse, breach of the Agreement, or where required by law. A positive balance does not override the Agreement’s suspension or termination rights.
11.3 Fraud, reversal, and clawback. Any portion of the Agent and Inference Balance obtained through fraud, chargeback, payment reversal, error, or any violation of the Agreement may be voided, reversed, or clawed back, and related access may be suspended. If a payment for a Credit Pack is charged back or reversed, DigitalOcean may deduct the corresponding amount from your Agent and Inference Balance from your balance and, if the balance is insufficient, recover the amount as a debt due under the Agreement.
11.4 No circumvention. You may not use Agent and Inference Balance , Auto-Reload, or multiple accounts to evade fraud controls, prepayment requirements, spend limits, or the intended scoping of the Agent and Inference Balance to Eligible Products.
12.1 Changes. DigitalOcean may change these Credits Terms, the available denominations, the set of Eligible Products, the drawdown order, or the features described here. For material changes, DigitalOcean will provide notice as required by the Agreement or applicable law. Changes do not apply retroactively to reduce the redemption value of Agent and Inference Balance you have already purchased, except as required by law.
12.2 Discontinuation. DigitalOcean may discontinue the Agent and Inference Balance or remove a product from the Eligible Products list. If it does, DigitalOcean will give reasonable notice and will allow you to redeem or, at its discretion, receive a refund of the unredeemed portion of the Agent and Inference Balance actually paid for, subject to Section 10 and applicable law.
12.3 Account closure. On closure or termination of your account, unredeemed Agent and Inference Balance is handled in accordance with Sections 10 and 12.2 and applicable law.
13.1 Except as expressly stated here, the Agent and Inference Balance is provided under the same warranty disclaimers, limitations of liability, and other protections set out in the Agreement, which are incorporated by reference.
13.2 Nothing in these Credits Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
The governing law, venue, and dispute-resolution provisions of the Agreement apply to these Credits Terms.
15.1 If any provision of these Credits Terms is unenforceable, the remaining provisions remain in effect.
15.2 DigitalOcean’s failure to enforce a provision is not a waiver.
15.3 These Credits Terms, together with the Agreement, are the entire agreement between you and DigitalOcean regarding Agent and Inference Balance.
