The below terms (the “Preview Terms”) apply to your participation in the Public Preview of, and your use of, the above-identified DigitalOcean Service, Agent Droplets (the “Preview Offering” or “Agent Droplets”). The Preview Offering is an optional monthly subscription for DigitalOcean Managed Agents that applies a discount to your usage of certain Eligible Resources (defined in Section 2.3), up to a monthly Subscription Balance (defined in Section 2.4). Agent Droplets is a pricing and billing feature layered on the underlying Managed Agents Service and does not itself provide any compute, model, storage, or tool functionality. The Preview Terms supplement the terms of the DigitalOcean Terms of Service Agreement (including Service Terms) or such other written agreement between you and DigitalOcean governing your use of our Services (our “Agreement”). The Preview Offering is a Beta Service for purposes of the Agreement, and terms not defined in these Preview Terms have such meaning otherwise defined in the Agreement. If there is a conflict between these Preview Terms and the Agreement, these Preview Terms will control solely with respect to the conflict relating to your use of the Preview Offering.

Your participation in the Public Preview and use of the Preview Offering is voluntary. If you do not accept these Preview Terms, then you may not participate in the Public Preview.
The Preview Offering is a preliminary, limited-availability release of a DigitalOcean Service. It is an optional subscription that, for a flat monthly fee, applies a percentage discount to the list price of Eligible Resources you consume through Managed Agents, up to a monthly Subscription Balance, after which usage is billed at standard rates. Agent Droplets is offered in the tiers described in Section 2.2 and does not itself provision compute, models, memory, storage, or tools; those resources are provided under, and remain governed by, the Agreement and the applicable Service Terms for the Managed Agents Service and the DigitalOcean AI Platform. This offering is intended for evaluation and feedback purposes.
2.1 As-Is; As-Available. The Preview Offering is provided “AS-IS” and “AS-AVAILABLE.” You acknowledge the experimental nature of the Preview Offering and that DigitalOcean may modify, suspend, or discontinue any feature of the Preview Offering — including any plan tier, discount rate, Subscription Balance mechanic, or the set of Eligible Resources or eligible models — at any time without notice.
2.2 Plans and Subscription Fee. The Preview Offering is offered in the following monthly tiers:

Fees are stated in U.S. dollars and are exclusive of taxes; you are responsible for any applicable sales, use, VAT/GST, or similar taxes, which may be added to your charges. The monthly fee is billed in advance and the subscription renews automatically each month at the then-current fee until you cancel it. By enrolling, you authorize DigitalOcean to charge the recurring monthly fee to your account each billing period, and the fee shown at enrollment will continue to be charged each month until you cancel. You may cancel at any time from your account, using the subscription controls DigitalOcean makes available there; cancellation takes effect at the end of the then-current billing month, and the subscription does not renew for the following month.
2.3 Eligible Resources; Exclusions. The discount applies only to your usage of the following resources when consumed through Managed Agents (the “Eligible Resources”): (a) inference on DigitalOcean hosted models only, as designated by DigitalOcean from time to time; (b) compute (agent microVMs); © memory; (d) session storage; and (e) governed tool usage (for example, code interpreter, browser automation, web search, and web fetch). The discount does not apply to, among other things: (i) inference on third-party or closed models that are not hosted by DigitalOcean, including Anthropic Claude and OpenAI GPT models, which are billed at standard rates regardless of your plan and regardless of the client or framework used; (ii) any DigitalOcean product or resource other than the Eligible Resources; (iii) third-party or external charges an agent incurs; (iv) taxes, fees, or surcharges; or (v) any usage in excess of your Subscription Balance (Section 2.4). DigitalOcean may add, remove, or change the Eligible Resources, the eligible models, and the discount rates at any time. The discount rates are applied to DigitalOcean’s then-current published list prices for the Eligible Resources, which are the same prices charged to accounts not enrolled in a plan.
2.4 Subscription Balance; Drawdown. Each billing month, your monthly fee funds a “Subscription Balance” equal to that fee. Your Subscription Balance is the “subscription allowance” referred to in the Agent and Inference Balance Terms (referenced below) and is applied first in the order of drawdown described in those terms. As you consume Eligible Resources, that usage is priced at the applicable discounted rate and drawn down against your Subscription Balance until the balance is exhausted. Once your Subscription Balance for the month is exhausted, continued usage is billed at DigitalOcean’s then-current list prices, without discount, and is satisfied from your other available funding in the order set out in the Agent and Inference Balance Public Preview Terms — first from your Agent and Inference Balance, then from your General Prepay Balance. If none of your Subscription Balance, Agent and Inference Balance, or General Prepay Balance is available to cover the usage, access to the affected Eligible Resources pauses — active agent sessions are paused and completed work is preserved in a snapshot — until you add to your Agent and Inference Balance, Auto-Reload replenishes your balance, other applicable funding becomes available, or you upgrade to a higher tier. For example, on the Proplan your $50 monthly fee funds a $50 Subscription Balance, and Eligible Resource usage is charged against that balance at a 15% discount to list price until the $50 is used up, after which further usage is charged at full list price and satisfied from your Agent and Inference Balance and then any General Prepay Balance. Agent and Inference Balance and any General Prepay Balance are governed by the Agent and Inference Balance Public Preview Terms (public preview), including their redemption, expiration, and refund provisions. After your Subscription Balance is exhausted, any continued usage that constitutes Core Cloud Usage under the Agent and Inference Balance Terms (rather than usage of an Eligible Product) is billed separately in arrears under the Agreement, cannot be paid from your Agent and Inference Balance, or General Prepay Balance, and is not subject to the pause described above. Unused Subscription Balance does not roll over from month to month and is forfeited at the end of each billing month, except that: (a) unused Subscription Balance from your first billing month rolls over into your second billing month; and (b) if you upgrade to a higher tier mid-month, your remaining Subscription Balance carries over rather than resetting. The monthly fee is fully earned by DigitalOcean when charged, as consideration for the monthly subscription and the discount made available during that month; it is not a deposit, prepayment for specific resources, stored value, gift card, or cash equivalent, and any unused or forfeited Subscription Balance has no cash value and is not redeemable or refundable for cash.
2.5 Pricing Changes. DigitalOcean may change plan fees, discount rates, tiers, the Eligible Resources, the eligible models, and the underlying list prices at any time on a prospective basis. Any change takes effect from your next billing month, and your continued use of the Preview Offering after the change takes effect constitutes acceptance. If you do not agree to a change, your remedy is to cancel the subscription before the change takes effect. Any directional or indicative pricing provided to you in advance is non-binding and subject to change.
2.6 Fair Use. Plans allow you to run an unlimited number of agents, subject to fair use. DigitalOcean may apply dynamic usage limits, rate limits, throttling, or concurrency limits at its discretion to maintain service quality and prevent abuse, consistent with the Agreement and the Service Terms for the Managed Agents Service. You may not resell, redistribute, or provide the plan discount to any third party, or structure usage across accounts to circumvent the plan tiers, the Subscription Balance mechanic, or the Eligible Resource or eligible model rules.
2.7 Non-Refundable; No SLA. Except as expressly stated in these Preview Terms (including Section 5.1) or as required by applicable law, plan fees and drawn-down amounts are non-refundable, and DigitalOcean does not refund or credit partial months, unused Subscription Balance, or usage. No Technical Support commitments and no Service Level Agreements (SLAs) apply to the Preview Offering, and no service credits are available for the Preview Offering. Support, if any, is provided on a reasonable-effort basis during business hours.
This Section 3 supplements Section 2. If there is a conflict between Section 2 and this Section 3 with respect to your agents, models, or tools, this Section 3 controls.
3.1 Responsibility for Your Agents. You are solely responsible for configuring your agents, including their instructions, the models they use, the tools and permissions you grant them, and the data they may access, and you are responsible for all actions your agents take. This includes autonomous actions and actions taken through tools such as browser automation, web search, web fetch, and code execution, and any external systems, sites, APIs, or accounts your agents reach, including any data an agent transmits, changes, deletes, or transacts. You will not use your agents or the governed tools to access, interact with, or collect data from any third-party system, website, or service in a manner that violates that third party’s terms, applicable law (including laws governing unauthorized access to computer systems), or the rights of others. You are responsible for your and your agents’ compliance with the Agreement, the DigitalOcean Acceptable Use Policy, and applicable law. Your use of the Preview Offering, including all actions taken by your agents, is subject to the indemnification obligations set out in the Agreement.
3.2 AI Output. Model outputs are generated by probabilistic methods and may be inaccurate, incomplete, or otherwise unsuitable, and should be reviewed before you rely on them. Agent Droplets does not change the nature of the underlying Managed Agents Service or the DigitalOcean AI Platform, and the generative-AI provisions of the applicable Service Terms — including those addressing output, provenance data, guardrails, and abuse detection — continue to apply. The Preview Offering is not intended for, and you must not use it in connection with, the operation of hazardous environments or critical systems, or for automated legal, medical, financial, or safety-of-life decision-making.
3.3 Third-Party Models and Tools. Third-party models and third-party tools or services your agents use are governed by their own terms and acceptable use policies. You are responsible for your compliance with those terms and for any data you or your agents send to them. DigitalOcean is not responsible for third-party models, tools, or services. Product and company names referenced in connection with the Preview Offering (including third-party model, client, and framework names) are used for identification purposes only and do not imply any endorsement by, affiliation with, or sponsorship of or by the named party.
4.1 Input Data. You are responsible for the prompts, inputs, content, code, and data your agents use with, or store on (including in session storage or persistent memory), the Managed Agents Service in connection with the Preview Offering, and for compliance with the Agreement and applicable law with respect to that data. The handling of that data — including collection, use, retention, deletion, security, and disclosure to model and tool providers — is governed by the DigitalOcean Privacy Policy, the Service Terms for the Managed Agents Service and the DigitalOcean AI Platform, and, where applicable, the DigitalOcean Data Processing Agreement. Session storage and persistent memory associated with your agents are retained and deleted in accordance with the retention and deletion controls of the Managed Agents Service; you are responsible for configuring those controls appropriately and for deleting content you no longer wish to retain.
4.2 Improvement. By using the Preview Offering, you authorize DigitalOcean to use Usage Data relating to Agent Droplets (e.g., plan tier, Subscription Balance drawdown, resource-usage mix, and billing events) and any Feedback you provide to operate, evaluate, and improve the Preview Offering and our Services. This Section 4.2 does not expand any rights DigitalOcean has with respect to your prompts, inputs, or outputs, which remain governed by the Service Terms referenced in Section 4.1.
4.3 Feedback. You may, but are not required to, provide DigitalOcean with suggestions, comments, or other feedback regarding the Preview Offering (“Feedback”). You grant DigitalOcean a perpetual, irrevocable, worldwide, royalty-free license to use and exploit Feedback for any purpose without restriction or obligation to you.
5.1 DigitalOcean may terminate or conclude this Preview Offering as a whole at any time. If DigitalOcean discontinues the Preview Offering, or your plan tier, during a billing month for reasons other than your breach of these Preview Terms or the Agreement, DigitalOcean will provide a pro-rata refund or account credit for the unused portion of that month’s plan fee, measured as of the date the Preview Offering or tier is discontinued. This is your sole and exclusive remedy for the discontinuation of the Preview Offering.
5.2 If the Preview Offering advances to a subsequent release cycle (General Availability), DigitalOcean will endeavor to assist you with transitioning your subscription, and the terms, fees, and discounts applicable at General Availability may differ from those during the Public Preview. DigitalOcean reserves the right, in its sole discretion, to conclude the Preview Offering and cease applying Preview discounts at the conclusion of the Preview Offering or at any time thereafter, regardless of any planned transition.
DigitalOcean may suspend or terminate your access to the Preview Offering at any time (in our sole discretion), with or without notice, if: (a) we choose to discontinue the Preview Offering or transition it to General Availability; or (b) we believe your use violates these Preview Terms or the Agreement. Termination of your subscription stops future renewals; fees are non-refundable except as expressly provided in Section 5.1 or as required by applicable law.
The Preview Offering is a Beta Service. The warranty disclaimers, exclusions of damages, and limitation of liability applicable to Beta Services under the Agreement (including Section 8.6) apply to the Preview Offering and are incorporated by reference. Sections 2.7 and 3 of these Preview Terms supplement, and do not limit, those provisions. Nothing in these Preview Terms expands DigitalOcean’s liability beyond, or limits any disclaimer, exclusion, or cap set forth in, the Agreement.
